Service Agreement

Effective Date: 01 January 2020

This Service Agreement outlines the terms, responsibilities, and conditions governing the professional services provided by JP Solutions – Built on Trust to its clients. By engaging our services, the client agrees to the terms stated below.


1. About JP Solutions

JP Solutions is a professionally managed service organization offering integrated business solutions including:

  • Security Guard Services
  • Facility Management Services
  • Housekeeping & Cleaning Services
  • Manpower Outsourcing Services
  • Website Development & Hosting Services
  • Mobile Application Development
  • Solar Installation & Maintenance Services
  • Horticulture & Support Services

2. Scope of Services

The scope, duration, manpower deployment, deliverables, project timelines, technical specifications, and service obligations shall be defined in the approved quotation, proposal, work order, purchase order, or signed contract.


3. Service Commitment

JP Solutions commits to:

  • Deliver professional and quality services
  • Deploy trained, verified, and qualified personnel
  • Maintain statutory compliance and safety standards
  • Ensure timely execution of assigned work
  • Provide operational support and supervision
  • Maintain confidentiality of client information

4. Client Responsibilities

The client agrees to:

  • Provide accurate project requirements and instructions
  • Provide necessary site access, approvals, and infrastructure
  • Ensure safe working conditions at the service location
  • Make payments as per agreed commercial terms
  • Cooperate with operational and compliance requirements

5. Pricing & Payment Terms

  • Service charges shall be as per approved quotation or agreement
  • GST and applicable taxes shall be charged as per law
  • Invoices shall be raised as per agreed billing cycle
  • Payments must be made within the agreed due date
  • Delayed payments may attract service suspension or late fees

6. Manpower & Deployment

For security, facility management, housekeeping, and manpower outsourcing services, personnel deployment shall be based on client requirements, shift schedules, site conditions, and contractual obligations.

JP Solutions reserves the right to replace deployed personnel for operational efficiency, discipline, or compliance purposes.


7. Project Execution

For IT services, website development, software projects, mobile applications, hosting services, and solar projects, timelines may vary based on project complexity, client approvals, revisions, and technical dependencies.


8. Confidentiality

JP Solutions shall maintain strict confidentiality regarding client business information, project documents, technical data, employee information, and operational records.


9. Cancellation & Termination

  • Either party may terminate the agreement with written notice
  • Notice period shall be as per signed contract or work order
  • Pending dues must be cleared before termination
  • Completed work and utilized services remain payable

10. Limitation of Liability

JP Solutions shall not be liable for losses arising due to:

  • Force majeure events
  • Natural disasters
  • Client-side operational delays
  • Third-party interruptions
  • Unauthorized changes made by the client

11. Compliance & Legal

JP Solutions operates in compliance with applicable Indian laws, labour regulations, taxation laws, safety regulations, and industry standards including statutory registrations such as GST, EPF, ESI, Labour Department, MSME, UDYAM, and other applicable licenses.


12. Dispute Resolution

Any disputes arising from this agreement shall first be resolved through mutual discussion. If unresolved, the matter shall be subject to the jurisdiction of courts in Odisha, India.
